The Smiles For All, LLC “First Funny Film Contest” (“the Contest”) Official Contest Rules (“the Rules”)

NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. NEITHER A PURCHASE NOR PAYMENT WILL IMPROVE YOUR CHANCES OF WINNING.  MUST BE A RESIDENT OF THE UNITED STATES AND 18-YEARS OF AGE OR OLDER TO PARTICIPATE.

1) Eligibility: The Contest is open only to legal residents of the 50 (fifty) United States and the District of Columbia who are at least 18 years of age or older at the time of entry. Employees, contractors, shareholders, other business partners, their affiliates or agents as well as the immediate family (spouse, parents, siblings, and children) and household members of each such person are not eligible.  The Campaign is subject to all applicable federal, state and local laws and regulations and is void where prohibited by law.

2) Sponsor: The Sponsor of the Contest is Smiles For All, LLC, 1397 Second Avenue, #136, New York, NY 10021.  The Sponsor’s website is www.SmilesForAll.com (“the Website”).  You (also “Entrant”) can contact us at our mailing address or online at http://www.smilesforall.com/contact-help/

3) Agreement to Rules: Participation in the Contest constitutes Entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to this Contest. Winning any prize is contingent upon fulfilling all requirements described in these Rules.

4) Entry Period of Contest: Contest entry will begin August 10, 2013 at 12:00:01 a.m. ET and end September 20, 2013 at 11:59:59 p.m. ET (“Entry Period”). Sponsor’s computer clock will keep the official time.

5) To Enter and Requirements: During the Entry Period, visit the First Funny Film Contest Page (“the Contest Page”) on the Website at http://www.smilesforall.com/first-funny-film-contest/, and follow the on-screen instructions to submit an original film (or “video” or “entry”).

Your video must be built around a true story.  Names and certain non-essential details may be changed to protect the privacy rights of others.  Your video must be original, but it doesn’t have to be new.  Your video must be 5 (five) minutes (300 seconds) or less in length and fully respect the intellectual property rights of others.   Your video can include, photos, animations, illustrations, and whatever else you can dream up.

Your video must avoid stories with a negative tone, those that make fun of others, or those that might be offensive.

Your entry should be in the form of a link placed in the submission form on the Contest Page.  The link must be to your video on YouTube (www.YouTube.com) or Vimeo (www.Vimeo.com), and it must be available for embedding on the webite using the available “Embed” features on YouTube or Vimeo.

Entries must fully comply with the Website’s policies for Use/Privacy/and Intellectual Property (“The Terms”) including but not limited to the nature of the content and lack of infringement of the intellectual property rights of others. In addition, entries will be considered submissions (“Submissions”) as defined by the Terms and therefore governed by the Terms as well as the Rules.  Furthermore, entries are also covered by the information and requirements on the Contest Page.

Proof of submission is not proof of receipt.

Should there be a dispute over the identity of an Entrant, the Entrant will be deemed the authorized account holder of the email account of the email address submitted at time of entry as assigned by the organization or provider that assigned the email address.

Entrants may not use multiple names, email addresses, or other means to enter the competition more than once. Any attempt to do so is grounds for disqualification. However, an Entrant may make more than one entry to the competition under the same email address; notwithstanding the previous clause of this sentence, an Entrant can only win one of the Contest prizes.

Entries that do not comply with the Rules or the Terms or information on the Contest Page, as determined by the Sponsor in its sole discretion, will be disqualified and will not be considered for prizes. The Sponsor makes the final decision as to which Entries are eligible to participate in the Contest and such decisions are binding. The Sponsor can, should it so desire, post to the Website any video submitted as part of the Contest at any time, as is allowed by the Terms.  Should the Sponsor post your video to the Website and should you so elect; the Sponsor will post a brief biography of you along with your video to the Website, subject to the Sponsor’s final discretion over the content of such bio.  Notwithstanding the above, the Sponsor is under no obligation to post any video or biography.

6) Judging/Selection of Winners: A panel of judges will select a First-Place Winner, a Second-Place Winner, and a Third-Place Winner from all eligible entries received during the Entry Period of the Contest. This panel will select as the winners the entries they deem the funniest, taking into account originality, creativity, quality of presentation, appropriateness to the image of the Website, and everything else that prompts a good laugh. The winners will be selected on or around October 4, 2013.

7) Prizes: The First-Place Winner will receive a cash prize of $250. In addition, Smiles For All, LLC will donate $250 to a charity selected by the First-Place Winner. The Second-Place Winner will receive a cash prize of $150. In addition, Smiles For All, LLC will donate $150 to a charity selected by the Second-Place Winner. The Third-Place Winner will receive a cash prize of $100. In addition, Smiles For All, LLC will donate $100 to a charity requested by the Third-Place Winner.

Each charity must be a bona fide non-profit organization, headquartered in the 50 (fifty) United States or the District of Columbia.  The charity must hold a tax-exempt status recognized by the Internal Revenue Service under Section 501(c)(3) of the Internal Revenue Code.

A charity will be excluded if it:

— Discriminates by race, creed, color, sex, sexual orientation, age or national origin,

— Serves only its own membership (e.g. fraternal organizations, labor organizations or religious groups that do not provide services to persons who are not members (or relatives) of the particular group),

— Is affiliated with a political party, a political candidate, lobbying activities, or other political activity, and

— Has a mission that might be considered divisive, polarizing, or controversial (in the sole discretion of the Sponsor) in that there are large constituencies both supportive of and against the organization’s mission(s).

Without limiting the foregoing, the Sponsor reserves the right, in its sole discretion, to exclude any charity the Sponsor determines is inappropriate for any reason.  Should a charity be excluded, a winner will be able to suggest additional charities until November 4, 2013 until the Sponsor determines a selection to be appropriate.

8) Notification And Delivery of Prizes: Within three (3) days after the selection of the winners, the winners will be notified through contact information they supplied at the time of entry. Notwithstanding anything in the Website’s Terms or anything else in the Contest Rules; by entering into the competition, each winner grants the Sponsor a perpetual and irrevocable license to show its winning entry on the Sponsor’s Website(s) and in derivative works.  Alternative winners may be selected and prizes granted to these alternative winners if any notification is not responded to within fourteen (14) days or if any notification or prize is returned as undeliverable.

Contest winners will be informed by email through the email address they provided when submitting their video.  Announcements of the winners will also be made on the Contest Page, on the Website’s homepage, in THE SCOOP, and on the Sponsor’s Facebook and Twitter pages.

9) Additional Conditions: By entering, you agree to be bound by the Rules, the Terms, and the information and instructions requirements on the Contest Page.  You agree to be bound by the decisions of the judge, decisions that are binding and final in all matters relating to the contest.  Failure to comply with any rule may result in disqualification from the Contest and disqualification from any future contest.  Any attempt by any person to undermine the operation of this Contest may be a violation of criminal and civil law, and the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law.

The Sponsor collects personal information about you when you enter the Contest. By entering, you grant us the right to collect and maintain that data in accordance with the Terms.

The Sponsor may suspend, modify or terminate the Contest if it believes, in its sole discretion, that any malfunction, error, disruption, damage, war, hostilities, or the like is harming or will negatively impact the administration, security, fairness, integrity, or proper conduct of the Contest.

The Sponsor’s failure to enforce any Rule does not constitute a waiver of that rule.

10) Disputes and Release of Liability: By participating in the Contest, Entrant agrees to release the Sponsor and its affiliates, members, business partners, employees, directors, and agents (“Released Parties”) from any and against any and all injury, loss or damage caused or claimed to be caused by Entrant’s participation in the Contest.  Entrant agrees that the Released Parties are in no way responsible for any warranty, representation, or guarantee, expressed or implied, in fact or in law, relating to the Contest except as expressly set forth in the Rules.  Entrant further agrees that any and all disputes, claims, and causes of action arising out of or connected with this Contest will be resolved individually without resort to class action litigation. Any such a dispute will be settled through arbitration in New York City in accordance with the rules of the American Arbitration Association and through the American Arbitration Association in New York City.  Any award, claim, or judgment will be limited to the amount of the First-Place Winner Prize ($250 gift plus a $250 gift to a selected charity subject to the limitations described above), but under no circumstances will attorney’s fees or other fees and expenses related to litigation be awarded. By entering the Contest, Entrant waives any rights to claim punitive, incidental, or other damages or to have damages multiplied. Based on the laws of certain jurisdictions, it is possible that the above limitations may not apply to all Entrants.

11) Taxes and Forms: Prize money will paid by check and may be taxable income; please check with your accountant. Current tax law requires that Smiles For All, LLC (the Sponsor) provide any person a Form 1099– Miscellaneous Income to any Entrant who wins prize money or receives in any way $600 or more from the Sponsor in a calendar year.  In order to provide this form, an Entrant must fill out a Form W-9 and provide this information to the Sponsor. The Sponsor is under no obligation to remit to any Entrant $600 or more during any calendar year without this form being filled out.

Smiles For All
